Affiliate Program Agreement

By registering as an affiliate for World Incentive Network Inc. dba Resilient by Design ("Resilient by Design"), you agree to the following terms and conditions. Please read this agreement carefully. If you do not agree with these terms, you may not participate in the affiliate program.

This agreement is a legally binding contract between you (the "Affiliate") and Resilient by Design (the "Program Operator"). By participating in the Affiliate Program, you acknowledge and agree to comply with these terms.

This agreement incorporates the Program Operator's Terms and Conditions (found on this website) as if set forth fully herein.

Affiliate Status

As an affiliate, you are an independent contractor and not an employee of the Program Operator. Nothing in this agreement creates an employer-employee relationship between you and the Program Operator.

Commissions and Referral Fees

  • Affiliate Commission:
    When a customer purchases a product or service through your affiliate link, your affiliate ID will be credited with a referral fee. The commission amount varies depending on the product or service. The commission rate can be found on the website and is subject to change without prior notice. The default commission rate is 10% unless otherwise specified.

  • Affiliate Identification:
    Before any commission payment is made, you must provide identification information to the Program Operator. This includes, at a minimum, a government-issued photo ID (e.g., driver’s license). Payments will not be processed until this information is submitted.

Income Tax Liabilities

As an independent contractor, you are responsible for paying any taxes that apply to the income you earn from the affiliate program. This includes Canadian, provincial, or foreign taxes, and any other tax liabilities relevant to your location.

Embargoed Nations & Specially Designated Nationals

By becoming an affiliate, you confirm that you are not in a country where exports are prohibited and that you are not listed as a Specially Designated National or as part of an Embargoed Nation according to U.S. laws. You are responsible for compliance with local laws regarding the import/export or re-export of materials.

Commission Schedule

  • Payment Terms:
    Commissions are paid on the 15th of each month, following a 30-day refund window. For example, a sale made on June 17 would be subject to a refund until July 17, with payment being made on August 15.

  • Minimum Payment:
    There is a minimum payment threshold of $100. Commissions below this threshold will be rolled over to the next month until the threshold is met.

  • Refunded or Rejected Sales:
    No commission is paid for sales that are refunded, or transactions that are not fully completed. If a transaction is charged back, any commission already paid will be deducted from future payments.

Commission Structure

  • Digital Products:
    For digital products, such as eBooks, courses, and other downloadable content, affiliates will receive a flat 10% commission on the sale price. This commission is calculated based on the full sale amount of the digital product.

  • In-Person Events (e.g., Retreats, Conferences, Meetings, etc.):
    For group weekend retreats, 5.5-day retreats, and other in-person events, the commission rate will be adjusted based on the cost of goods sold (COGS) for the entire event divided by the number of attendees. The commission will be calculated after accounting for expenses such as, but not limited to:

    • Accommodation rental (if included)

    • Food and beverage costs

    • Transportation (if included)

    • Meeting room rental

    • Equipment rental

    • Videographer/photographer

    • Tables, chairs, collateral, and other event-related costs

    • Event planner

    • Travel expenses

    Once these expenses are subtracted from the total revenue generated from the event, the remaining amount will be used to calculate the affiliate commission. This ensures that commissions are paid on the profit generated from the event rather than the gross revenue.

Payment Processor Fees

All commissions are calculated based on the net transaction, meaning payment processor fees will be deducted before commissions are calculated. Any per-transaction fees, as listed on the website, will also be subtracted from the total commission.

Affiliate Link and Sales Tracking

Upon registering for the affiliate program, you will be given a unique affiliate URL. This link tracks sales made through your referral. You must use this unique URL to ensure proper credit for sales.

Unprofessional Conduct

  • Code of Conduct:
    The Program Operator maintains a high standard of professional conduct. Affiliates who engage in slanderous, racist, or unethical practices will have their affiliate status revoked immediately, and any commissions owed will be forfeited.

  • Predatory Practices:
    Affiliates are prohibited from engaging in predatory practices, such as link cloaking or replacing affiliate links to fraudulently redirect commissions. Violators will be terminated and any commissions due will be withheld.

Modification of the Agreement

  • Right to Modify:
    Resilient by Design reserves the right to modify this agreement and its Terms and Conditions at any time, with notice provided through the website. Your continued participation in the affiliate program after such changes constitutes acceptance of the modified terms.

  • Termination of Agreement:
    This agreement will continue until either party terminates it. You can terminate this agreement at any time by notifying the Program Operator. The Program Operator may also terminate your participation with 30 days’ notice. Immediate termination may occur in case of breach of this agreement.

Payment and Liability

  • Payment Responsibility:
    The Program Operator is not responsible for any issues arising with the payment processors. Affiliates must maintain active accounts with the payment processors through which commissions are paid. If an affiliate’s chosen payment method is invalid, the Program Operator is not responsible for non-receipt of funds.

  • No Liability:
    The Program Operator is not liable for indirect or accidental damages resulting from affiliate activity, including sales tracking errors, commission failures, system malfunctions, or external disruptions.

Miscellaneous Provisions

  • Governing Law:
    This agreement is governed by the laws of British Columbia, Canada, and disputes will be settled through mediation or binding arbitration in the designated jurisdiction.

  • Force Majeure:
    The Program Operator is not liable for failures due to acts of God, system failures, or any other unforeseen events beyond its control.

By signing up for the Resilient by Design Affiliate Program, you acknowledge and agree to abide by all terms and conditions outlined in this agreement.
